1. HOW TO ENTER:  Visit www.sears.com/shoes or http://www.kmart.com/shc/s/v_10151_10104_Shoes?adCell=WH (“Website”), follow the onscreen instructions to become a registered user of the Website and submit a Qualifying Product Review (as defined below) in the shoe category.  The “Falls Shoes for a Year Sweepstakes” (“Sweepstakes”) begins at 12:01 AM Central Time on October 11, 2009 and ends at 11:59 PM Central  Time on November 7, 2009 (“Entry Period”).  Not responsible for lost, late, damaged, misdirected, illegible or incomplete entries, all of which are void.

   A Qualifying Product Review must:  (A) comply with the Website’s Terms of Use, available at  http://www.sears.com/shc/s/nb_10153_12605_NB_CStermsofservice and http://www.kmart.com/shc/s/nb_10153_12605_NB_CStermsofservice;  (B) contain content that is relevant to the product being reviewed; (C) not contain profane, obscene, lewd, defamatory, disparaging or other inappropriate content; (D) include only original content that has been uniquely created for Sears or Kmart and has not been copied from any other online source; and (E)  meet the following standards:
   

   1. Each product review must be of a product included in the Website product catalog.
   2. Each product review is subject to editorial review by Sponsor and/or its designees.
   3. If the product is being reviewed for the first time, all review fields marked as mandatory on the Website must be completed.
   4. Content of the review must be relevant to the product being reviewed.
   5. The review must not contain profanity or other inappropriate content.
   6. Each review must be original content and uniquely created for Sponsor and cannot be copied from any other source.
   7. Each product review must be a minimum of 500 characters in length (about 85 words).

   In the event of dispute over the identity of a potential winner, online entries will be deemed made by the authorized account holder of the email address submitted at the time of entry, and the potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of the email address submitted upon entry. "Authorized account holder" is the natural person who is assigned to an email address by the Internet Access provider, online service provider, or other organization that is responsible for assigning email addresses.

   Proof of emailing does not constitute proof of delivery or entry. All entries become the property of Sponsor and will not be returned to entrant. Every entry submission must be manually keystroked and/or manually entered by the individual entrant. Automated and/or repetitive electronic submission of entries (including but not limited to entries made using any script, macro, bot or sweepstakes service) will be disqualified, and transmissions from any related email or IP addresses may be blocked.

2. ELIGIBILITY:  Open to legal U.S. residents 18 years of age or older excluding employees of Sears Holdings Management Corporation, its respective parent companies, subsidiaries, affiliates, related companies and advertising and promotion agencies, and the families and/or household members of each of the above.

3. DRAWING:  Winner will be selected in random drawing from among all eligible entries received during the Entry Period.  Drawingwill be conducted by a representative or designee of Sponsor, whose decisions are final on all matters relating to this Sweepstakes.  Winner does not need to be present at time of drawing; he/she will be contacted by email, telephone and/or mail in Sponsor’s sole discretion.

4. PRIZES:
   

   1. Grand Prize:  There will be one (1) Grand Prize, consisting of a $1200 Sears/Kmart e-gift card.  Approximate Retail Value (ARV):  $1,200. 
   2. First Prize: There will be fifty (50) First Prizes, each consisting of  a $75 Sears/Kmart gift card.  Gift card restrictions may apply. 

   Approximate Retail Value of All Prizes: $4,950.  Gift card restrictions may apply.  Odds of winning depend on number of eligible entries received prior to each drawing.  Limit one Prize per household.  Prizes won by minors will be awarded in minor’s name to a parent or legal guardian, who will be required to sign all required documents.

5. PRIZE ACCEPTANCE:  By participating, entrants agree to be bound by these Official Rules and the decisions of the Sponsor, which are final in all respects.  Prizes are not transferable. Taxes on Prizes are sole responsibility of winner. Winners of prizes valued over $600 will receive a 1099 IRS tax form at year end for the actual retail value of Prize.  No Prize substitutions or cash redemptions allowed except by Sponsor, who may substitute a Prize of equal or greater value if advertised Prize becomes unavailable.  Winners may be required to sign an affidavit of eligibility/release of liability and publicity (where permitted) within a time period designated by Sponsor, or Prize may be forfeited.   If potential Winner cannot be reached, if he/she is found to ineligible, if he/she cannot or does not comply with these Official Rules, or if his/her prize or prize notification or any prize correspondence is returned as undeliverable, potential Winner may be disqualified and an alternate may be selected from the remaining eligible entries at Sponsors’ sole discretion.  By accepting Prize, winner consents to use of name and likeness for advertising purposes worldwide without limitation and without additional compensation, except where prohibited by law.  By accepting prize, winner further agrees to release Sponsor and its parent companies, subsidiaries, affiliates, related companies and advertising and promotion agencies, and each of their respective officers, directors, employees and agents from any and all liability, loss or damage of any kind arising out of or in connection with their participation in this Sweepstakes or with respect to awarding, receipt, possession, use and/or misuse of any Prize.  Sponsor is not responsible for any typographical or other errors in the printing, the offering or the announcement of any prize of the promotion.

6. INTERNET: By participating, entrants hereby agree that Sponsor is not responsible for incomplete, lost, late, damaged, illegible, misplaced or misdirected email entries or faulty transmissions, technical computer hardware or software failures of any kind, lost or interrupted or unavailable network connections, or failed, incomplete, garbled, misrouted, scrambled or delayed computer transmission or other errors or problems of any kind, whether mechanical, human, electronic or otherwise, which may limit a user's ability to participate in the Sweepstakes. Entrants further agree that Sponsor assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty, failed, garbled or jumbled electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Sweepstakes; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of the operation of the Sweepstakes; or, (d) inaccessibility or unavailability of the internet or the website or any combination thereof; (e) any injury or damage to participants or to any other person's computer which may be related to or resulting from any attempt to participate in the Sweepstakes or download any materials in the Sweepstakes.

   Sponsor reserves the right to (1) disqualify any entrant and void any entries of an entrant who has engaged in unsportsmanlike conduct, fraud or other misconduct relative to this Sweepstakes or otherwise attempted to tamper with or impair the Sweepstakes, and to (2) cancel, modify, suspend or terminate the online portion of the Sweepstakes if, in Sponsor's sole opinion, technical failures, applicable laws or regulations, virus, bugs, unauthorized human intervention or other cause beyond Sponsor's reasonable control destroys the integrity of the Sweepstakes or otherwise corrupts or impairs the administration, security, legality, fairness or proper play of the Sweepstakes or any part thereof.
   Sponsor also reserves the right at its sole discretion to disqualify any individual found to be tampering with the entry process or the operation of the Sweepstakes or the website, or to be acting in any manner Sponsor deems to be in violation of the Official Rules or disruptive, or with intent to annoy, abuse, threaten or harass any other person. If, for any reason, the Sweepstakes is not capable of running as planned for reasons which may include without limitation, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, violation of applicable law or regulation or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes in whole or in part.

   CAUTION: ANY ATTEMPT BY A USER OR ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
